RECORDING SERVICES AGREEMENT
This Recording Services Agreement (“Agreement”) is made and entered into on this 1st day of Nissan, 5785/ 30th day of March, 2025, by and between:

1. SCOPE OF SERVICES
The Studio agrees to provide the following services for International Torah Academy:

Access to studio space and professional audio equipment

Recording of [describe content—e.g., guitar part, narration, vocals, etc.]

Coordination with studio-based session musicians, as applicable
-
Delivery of all raw and final audio files in .wav and .mp3 formats within 5 business days of recording, unless otherwise agreed in writing
2. PAYMENT TERMS

Flat Fee: $550.00
-
Payment is due in full upon delivery of all files and invoice.

Flat fee includes up to 3 hours of recording time, one musician, and delivery of final raw audio. Additional time or performers require prior written approval.

No additional fees shall be charged unless agreed upon in writing by both parties.

Optional services (billed separately):
• Mixing: $85 per hour
• Mastering: $120 per song
3. OWNERSHIP & RIGHTS
All recordings made under this Agreement, including all musical or vocal performances, shall be considered “work-for-hire” as defined under 17 U.S.C. § 101.
To the extent any recording or contribution does not qualify as a work made for hire, Studio hereby irrevocably assigns all right, title, and interest in and to the recordings to International Torah Academy.
Client shall retain full ownership and exclusive rights to all audio material recorded during the session, including rights to reproduce, modify, distribute, license, and publicly perform the content.
4. SESSION MUSICIANS & STUDIO RESPONSIBILITY
The Studio confirms that any session musicians or performers involved in this project are hired by the Studio.
The Studio is solely responsible for:

Paying all musicians or vocalists involved

Obtaining written work-for-hire or release agreements from all performers

Ensuring that no future royalty or usage claims will be made by any party involved
Studio shall indemnify and hold harmless International Torah Academy from any legal, financial, or copyright-related claims by session performers.
5. REVISIONS AND DEFECTS
If the delivered audio contains technical defects or is incomplete, Studio shall correct or re-record the material at no additional cost to the Client.
6. CONFIDENTIALITY
Studio agrees to keep all recordings and content confidential until publicly released by International Torah Academy.
Studio may not share, publish, or distribute any content or session materials without written permission from the Client.
7. LIMITATION OF LIABILITY
Studio’s total liability for any claims related to this Agreement shall not exceed the total amount paid by Client under this Agreement.
8. INDEPENDENT CONTRACTOR STATUS
The Studio is engaged as an independent contractor and not as an employee or agent of International Torah Academy.
The Studio shall have no authority to bind the Client and shall be solely responsible for all taxes, withholdings, insurance, and other obligations arising from compensation received under this Agreement.
9. PUBLICITY AND CREDIT
Studio shall not use the name of International Torah Academy or any part of the recordings for promotional purposes without the Client’s prior written consent.
10. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Florida.
Any disputes arising under this Agreement shall be resolved exclusively in the courts located in Miami-Dade County, Florida.
11. ENTIRE AGREEMENT
This document represents the full understanding between the parties and supersedes all prior communications, written or oral. Any amendments must be made in writing and signed by both parties.
